The registered website and GlobalTP Network shall be subject to the following agreement which consists of these terms and conditions. GlobalTP Network constitutes an internet platform for websites and advertisers that offers online marketing services, which are available through its website http://www.GlobalTPNetwork.com. A - The affiliated website or Publisher assures that it owns the copyrights and trademark of the website. This site provides Internet users and future GlobalTP Network users with services and information. The parties will do their utmost in order to derive mutual benefit. The Publisher agrees to meet the Editorial standards for the website contents.The publisher shall remain fully responsible for such website contents. The website registered in GlobalTP Network will not display any text, images, pictures or links with unacceptable contents such as the following, which are strictly prohibited:
v GlobalTP Network assumes no obligation whatsoever to control the Publisher website content, the latter being full responsible for such content. GlobalTP Network reserves the right to remove the Publisher from its platform without prior notice in case the Publisher violates the contents policy mentioned herein, or does not meet such requirements set forth for the Publisher to be a part of GlobalTP Network's platform. B - GlobalTP Network will serve creatives, banners, text links, headlinks, and other formats determined by the company and affiliated advertisers into the Publisher website. GlobalTP Network and the Publisher will share a percentage of the revenue derived from the advertisers´ payment of campaigns, which are served in standard or rich media formats as agreed by the Publisher and GlobalTP Network. GlobalTP Network will acknowledge the affiliated Publisher as a member of GlobalTP Network and therefore integrate it in its site as a member of the ad network. C - The publisher allows GlobalTP Network to advertise and promote the website availability on its sites network. The Publisher also allows GlobalTP Network to link to the Publisher website from the official site, presentations or any other websites owned by GlobalTP Network. The website will be available 24 hours a day throughout the year. The Publisher shall notify GlobalTP Network in the event that the website is not operating. D - Both parties agree to comply with all the terms and conditions herein. Both parties are entitled to adhere to this agreement and are free to do so. The Publisher shall not publish advertisements on unauthorized web pages in a way that misleads the visitor. The Publisher shall not resell advertisements to any other websites or third parties, unless this action is approved by GlobalTP Network in writing. E - Each party shall release the other party, its employees, members or third parties from any responsibility attached to any claims, damages, fines, attorney's fees and costs that might arise out of this agreement. F - Confidentiality: The following type of information shall be held confidential: business plans, strategies, commercial secrets, any information regarding the performance of the sites, financial data, or any information provided or disclosed by GlobalTP Network.com. The Publisher agrees not to disclose any kind of confidential information to any third parties. G - This agreement shall continue until terminated by either of the parties prior a five (5) day notice from the Publisher. GlobalTP Network is entitled to terminate the agreement without any prior notice. GlobalTP Network makes no guarantee about any quantity of impressions or clicks, about an estimated timeframe, or the amount of a payment to be paid to the Publisher. This agreement shall not be assigned by the Publisher without GlobalTP Network's prior written consent. This terms and conditions will not lead to assume that a joint venture, partnership or employment relation has been constituted. Neither of the parties will have the right or authority to be placed under any obligations on behalf of the other. |
